Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the Moorsyl messaging platform ("Service"). By creating an account, accessing, or using the Service, you ("Customer") agree to be bound by these Terms.

1. Service Description

Moorsyl provides a cloud-based messaging platform that enables Customers to send SMS messages through third-party telecommunications operators and network providers. Moorsyl is not a telecommunications operator and does not control mobile networks.

Message delivery is dependent on third-party carrier networks and external infrastructure. Moorsyl does not guarantee delivery, routing, timing, or availability of SMS messages.

2. Account Registration and Responsibilities

Customer must provide accurate and complete information when registering. Customer is responsible for safeguarding API keys, credentials, and access tokens. Customer is fully responsible for all activity occurring under its account.

Moorsyl may suspend accounts that present security risks or suspicious activity.

3. Acceptable Use Policy

Customer agrees not to use the Service for:

  • Unsolicited bulk messaging (spam)
  • Fraud, phishing, or deceptive practices
  • Political campaigning or political messaging without proper authorization
  • Religious incitement or hate speech
  • Adult or illegal content
  • OTP abuse or traffic pumping
  • SIM farming or artificial traffic inflation
  • Any unlawful activity under Mauritanian law or applicable regulations

Customer must obtain valid consent from message recipients where required. Customer must honor opt-out or unsubscribe requests.

Moorsyl reserves the right to immediately suspend or terminate any account engaged in prohibited activity without prior notice.

4. Compliance and Content Responsibility

Customer is solely responsible for all message content transmitted through the Service. Customer warrants that all communications comply with applicable laws and regulations.

Customer agrees to indemnify and hold harmless Moorsyl, its officers, employees, and partners from any claims, fines, regulatory penalties, or damages arising from Customer’s content or misuse of the Service.

5. Third-Party Dependencies

The Service relies on third-party telecommunications operators, aggregators, and infrastructure providers.

Moorsyl is not liable for:

  • Carrier filtering
  • Delivery delays
  • Network outages
  • Government restrictions
  • Changes in routing
  • Sender ID rejection

Service availability may be affected by maintenance, carrier limitations, or force majeure events.

6. Pricing and Payment

Pricing is defined in the applicable order form or pricing page.

Moorsyl may revise pricing with prior notice.

Prepaid credits and account top-ups are strictly non-refundable and non-transferable, whether used or unused, except where refund is explicitly required by applicable law. Fraudulent or artificial traffic is billable. Moorsyl may suspend Service access for unpaid balances.

7. Suspension and Termination

Moorsyl may immediately suspend or terminate access to the Service if:

  • Customer violates these Terms
  • Suspicious or abusive traffic is detected
  • Required regulatory approvals are withdrawn
  • Payment obligations are not met

Moorsyl is not liable for losses resulting from lawful suspension.

Customer may terminate the Service at any time, subject to outstanding payment obligations.

8. Data and Logs

Moorsyl may retain message metadata and logs for operational, security, and compliance purposes.

Message content may be temporarily stored as technically necessary to provide the Service.

Moorsyl may disclose information if required by law or regulatory authorities.

Customer is the data controller for message content and is responsible for obtaining all required consents.

9. Limitation of Liability

To the maximum extent permitted by law:

Moorsyl shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, revenue, or business opportunity.

Moorsyl’s total aggregate liability arising from or related to the Service shall not exceed the total fees paid by Customer to Moorsyl during the three (3) months preceding the event giving rise to liability.

10. No Warranty

The Service is provided on an "as is" and "as available" basis. Moorsyl disclaims all warranties, express or implied, including fitness for a particular purpose and merchantability.

11. Force Majeure

Moorsyl shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to power failures, telecommunications outages, natural disasters, governmental actions, or regulatory restrictions.

12. Governing Law

These Terms shall be governed by the laws of the Islamic Republic of Mauritania.

Any disputes arising under these Terms shall be subject to the jurisdiction of the competent courts of Nouakchott.

13. Modifications

Moorsyl may update these Terms from time to time. Continued use of the Service after modifications constitutes acceptance of the revised Terms.

By using the Service, Customer acknowledges that it has read, understood, and agreed to these Terms.
